These Terms & Conditions (“Terms”) govern access to and use of the Smartbuying.in platform, DIPOS, and all associated products, services, websites, mobile interfaces, APIs, and software (collectively, the “Platform” or “Service”) operated under the Digital SaaS Services Hub (“Company”, “we”, “us”, “our”).
By accessing, registering on, or using the Platform, whether as a business user, merchant, partner, or end customer, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Platform.
1. Nature of the Platform (Technology Service Provider Only)
Smartbuying.in / DIPOS operates solely as a technology infrastructure and digital SaaS platform that enables third-party businesses to manage POS operations, receive orders, manage bookings, ticketing, inventory, CRM, HRMS, and related digital workflows.
The Platform:
does not own, sell, store, manufacture, package, inspect, transport, or deliver any goods or services,
does not act as an agent, distributor, reseller, partner, or guarantor of any business,
is not a party to any transaction between businesses and customers.
All commercial transactions, obligations, warranties, deliveries, refunds, cancellations, and disputes are strictly between businesses and customers.
2. Applicability to Businesses and Customers
These Terms apply uniformly to:
Businesses / Merchants / Vendors using the Platform to operate POS, accept orders, manage bookings, sell goods, or provide services.
Customers / End Users who browse, place orders, book tickets, purchase food, retail items, or use services via businesses operating on the Platform.
3. Account Registration & Responsibilities
3.1 Business Responsibilities
Businesses are solely responsible for:
the legality of their products and services
pricing, taxation, invoicing, and statutory compliance
order fulfillment, delivery, cancellations, and refunds
customer support and grievance handling
compliance with consumer protection, tax, data protection, and industry-specific regulations
3.2 Customer Responsibilities
Customers agree to:
provide accurate information
comply with applicable laws
review business policies before placing orders
resolve disputes directly with the business
The Platform bears no responsibility for incorrect listings, misleading content, or operational failures by businesses.
4. Platform Data, System Data & User Content
4.1 Platform-Generated Data
The Platform generates and processes technical, operational, security, and analytical data including:
system logs
marketing
performance metrics
usage statistics
metadata
anonymized and aggregated analytics
Such data is used for:
service improvement
security monitoring
fraud prevention
system optimization
analytics and reporting
4.2 Business & Customer Data
Businesses and customers are responsible for the accuracy and legality of the data they upload or process using the Platform.
The Platform processes such data strictly for service delivery and operational purposes, subject to applicable data protection laws.
5. Payments, Orders & Transactions
All payments, bookings, orders, and service delivery occur directly between businesses and customers.
The Platform:
does not control pricing, discounts, refunds, or delivery timelines
does not guarantee fulfillment
does not mediate commercial disputes unless explicitly stated
is not liable for failed payments, wrong orders, late deliveries, or quality issues
Any claims must be raised directly with the respective business.
Additional Clarification (Important for Refund Policy Alignment):
Refunds, cancellations, chargebacks, and order modifications for customer transactions are governed solely by the respective business’s refund and cancellation policy. The Platform does not guarantee refunds and is not responsible for enforcing business-specific refund decisions.
Payment processing may be handled by third-party payment gateways. The Platform shall not be liable for payment failures, gateway errors, banking issues, or chargebacks.
6. No Warranty
The Platform is provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied, including but not limited to:
fitness for a particular purpose
uninterrupted service
error-free operation
accuracy of third-party content
availability of any feature
7. Limitation of Liability
To the maximum extent permitted by law, Smartbuying.in / DIPOS and the Digital SaaS Services Hub shall not be liable for:
loss of data
loss of revenue, profit, or business
service downtime
security breaches
hacking, malware, ransomware, or cyber incidents
transaction failures
delivery failures
customer disputes
indirect, incidental, punitive, or consequential damages
Use of the Platform is entirely at the user’s own risk.
8. Indemnification
Businesses agree to indemnify and hold harmless the Platform from any claims, penalties, damages, or legal actions arising from:
their products or services
customer disputes
regulatory violations
tax non-compliance
misuse of the Platform
Customers agree to indemnify the Platform for misuse or unlawful use of the Service.
9. Suspension & Termination
The Platform reserves the right to:
suspend accounts
restrict access
terminate services
at its sole discretion in cases of:
misuse
security threats
legal risk
non-payment
violation of policies
No liability shall arise from such suspension or termination.
Billing & Subscription Clarification:
In case of subscription termination, suspension, or expiry, any fees paid shall remain non-refundable except where required by applicable law. Loss of access to paid features or data after termination shall not create any liability on the Platform.
10. Data Security & Availability
While reasonable technical and organizational safeguards are implemented, the Platform does not guarantee:
uninterrupted availability
zero data loss
immunity from cyber threats
Users are responsible for maintaining their own backups and operational continuity.
11. Compliance With Laws
Users are solely responsible for ensuring compliance with:
local, national, and international laws
tax regulations
consumer protection laws
data protection regulations
industry-specific regulations
The Platform bears no responsibility for user non-compliance.
12. Modifications to Terms
These Terms may be updated periodically. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
13. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India, and courts located in [Pune, Maharashtra] shall have exclusive jurisdiction, unless otherwise required by applicable international law.

15. Relationship With Refund & Cancellation Policy (NEW SECTION – IMPORTANT)
These Terms & Conditions must be read in conjunction with the Platform’s Refund & Cancellation Policy.
In case of any conflict between these Terms and the Refund & Cancellation Policy:
the Refund & Cancellation Policy shall govern matters related to billing, subscription cancellations, and customer order refunds;
these Terms shall continue to govern platform usage, liability limitations, and user responsibilities.
Continued use of the Platform constitutes acceptance of both the Terms & Conditions and the Refund & Cancellation Policy.
